This is one of the contents regulated under the Circular No. 211/2012/TT-BTC dated December 05, 2012 of the Ministry of Finance guiding implementation a number of articles of the Government’s Decree No. 90/2011/ND-CP, dated October 14, 2011, on issuance of corporate bonds. Under this Circular, the Ministry of Finance requested that enterprises must ensure publicize conditions, terms of bonds to be issued as prescribed at issuance market. Of which, conditions, terms of bonds must ensure the following principal contents: bond term, volume of bonds to be issued; par value of bonds, form of bonds, currencies used for bond issuance and payment. Of which, for convertible bonds, the issuing-bond enterprise must provide clearly conditions, terms relating to converting bonds before issuing, including: Commitments on implementing obligations of the issuing-bond enterprise for owners of bonds; Plans on compensation for owners bonds… |
For bonds with payment warrant, the issuing-bond enterprise must provide clearly terms relating to payment warrant for investors, including: scope of payment warrant; order of, procedures for implementing payment warrant; documents proving payment warrant… Besides, the Circular also regulates that the issuing-bond enterprises meeting conditions of issuance may issue bonds for many times but maximally not exceeding 12 month. In case which times of issuance are in various financial years, the issuing-bond enterprises must do procedures for new issuance. At the same time, at least 03 working days prior to organize bond issuance, the issuing-bond enterprises must send registration notice to the Ministry of Finance for summarization, monitor of corporate bond issuance… This Circular takes effect on January 20, 2013. |

On October 05, 2012, the Prime Minister issued the Decision No. 40/2012/QD-TTg on the management of specimen money and souvenir money. Specimen money means banknotes and coins issued by the State Bank up to technical and quality standards as types of money announced for circulation by the State Bank. Specimen money shall be used as standard model for comparison in the money issuance operation, for study, museum display, introduction, collection or souvenir purpose and have no value of a payment instrument in circulation. The State Bank of Vietnam, credit institutions and foreign bank branches, the State Treasury and other related agencies, organizations and individuals have the responsibility in implementing the regulation. |
Under this Decision, specimen money which are torn or damaged through use may be considered for renewal by the State Bank. The renewal of money must keep intact money denomination and type and subject to no charge. If subjects mentioned above lose their specimen money, they shall pay compensation and additionally, persons who are assigned to preserve specimen money shall be disciplined or administratively sanctioned under regulations. The compensation level is equal to the denomination of lost specimen money. Later, the State Bank may consider providing new ones to such subjects. This Decision takes effect on December 12, 2012. |

entering and exiting bonded warehouses replaces the declaration HQ/2002/KNQ issued with the Decision No. 1473/2002/QĐ-TCHQ dated May 24, 2002. At the same time, the circular is also attached with regulation on use of declaration, annex declaration for goods entering, exiting bonded warehouses This Circular takes effect on January 01, 2013. |

On October 02, 2012, the Ministry of Science and Technology issued the Circular No. 18/2012/TT-BKHCN guiding criteria and process of identifying technologies on the List of technologies encouraged for transfer, the List of technologies restricted from transfer and the List of technologies banned from transfer. Under this Circular, backward and low efficient technologies consuming lots of raw materials and fuels; Technologies producing wastes harmful to people, fauna and flora ecosystems and the environment; Technologies consuming natural resources, minerals wastefully will be in the list of technologies banned from transfer. Besides, technologies turning out products with high national traits; technologies produced according to traditional experience or how-how or with the use of Vietnam’s rare, precious and typical varieties, minerals or commodities…are in the list of technologies restricted transfer from Vietnam abroad. At the same time, technologies using old machines and equipment or technologies turning out old-generation products that are not energy efficient; Technologies turning out products |
by genetic modification or technologies turning out products which directly affect people’s health…..are in the list of technologies restricted transfer from abroad into Vietnam. Besides, This Circular also regulated some criteria to determine technologies under the list of technologies encouraged for transfer from abroad into Vietnam and transfer within the Vietnam territory including: advanced technologies turning out the products of superior quality; creating industries or trades which produce, manufacture, process, rear or grow new products not yet available in Vietnam; Promoting clean and environment friendly production with high economic benefits….. Under the Circular, regularly before April 30 every year, the Ministry of Science and Technology shall form a state level scientific council to appraise dossiers of proposal for modification and addition. This Circular takes effect on November 16, 2012. |

This is one of the contents regulated under the Publishing Law No. 19/2012/QH13 approved by the National Assembly dated November 20, 2012. Accordingly, standards of positions of Chief Editor of publisher are as follows: Having certificate of editing practice; having at least 03 years of working as editor at the publisher or press agency; other standards as prescribed by law. Besides, General Director (Director) must satisfy some conditions such as: Being Vietnamese citizens are residing in Vietnam, having good political and moral quality; Having University level or higher; having at least 03 years performing work of editing, management of publishing or press, management at the line agency of publisher; other standards as prescribed by law. |
At the same time, the Law regulated more tightly on duties and powers of editor. Accordingly, in addition to the rights of having name in the publications edited by him / her; having the right to refuse the editing of works and materials whose contents have signs of violation; Taking responsibility before the Chief Editor of the publisher and before law for the contents of publications edited by him / her. The editor have to participate in periodic training of legal knowledge on publishing and editing profession held by the State management agencies on publishing activities; Especially, do not disclose and miss the content of publishing works and materials prior to release affecting the rights of the author, the copyright owner; |
