Reporting requirements for securities investment fund management companies The Ministry of Finance issued Circular No. 88/2025/TT-BTC on September 3, 2025, effective from October 20, 2025. This Circular amends reporting requirements for securities investment fund management companies, Vietnam-based representative offices, and branches of foreign securities and fund management companies (hereinafter referred to as reporting entities). Key amendments include: Electronic reporting: Entities must submit periodic electronic reports to the State Securities Commission of Vietnam via its database system. Force majeure provisions: In cases of network failures or other force majeure events, entities must notify the State Securities Commission of Vietnam and may submit reports via email or in paper form. Full reporting must resume once issues are resolved.

Certification of Tariff Rate Quotas for Natural Honey Imported into Japan On September 3, 2025, the Ministry of Industry and Trade issued Circular No. 48/2025/TT-BCT amending and supplementing a number of articles of the Minister of Industry and Trade's Circular No. 28/2009/TT-BCT dated September 28, 2009, on certification of tariff rate quotas for natural honey imported into Japan under the Agreement between the Socialist Republic of Vietnam and Japan for an Economic Partnership. This Circular takes effect from the date of issuance. The Circular adjusts the regulations related to the certification of tariff rate quotas for natural honey imported into Japan, applicable to Vietnamese traders exporting honey to Japan under the Economic Partnership Agreement between the two countries. Principles for certifying the tariff rate quota certificate Traders wishing to benefit from Japan's VJEPA preferential tariffs must submit their applications to the provincial People's Committee where their headquarters are located. The tariff rate quota certificate is confirmed on a "first-come, first-served" basis. If the registered quantity of honey exceeds the remaining quota, the provincial People's Committee will confirm according to the remaining quota quantity. Handling cases of incomplete documentation If enterprises fail to submit the necessary documents, the Ministry of Industry and Trade will notify and request Japan not to issue the tariff rate quota certificate to the importing enterprise in Japan. Timeframe for certifying the tariff rate quota certificate The provincial People's Committee must confirm the tariff rate quota certificate within three working days from the receipt of a valid application. If not confirmed, a written response stating the reasons must be provided. Reconfirmation of the tariff rate quota certificate In cases where the certificate is torn, lost, or damaged, traders may request confirmation of a certified true copy. This copy must bear the phrase "CERTIFIED TRUE COPY" and be confirmed before the expiration date of the original certificate. Returning the tariff rate quota certificate If traders do not proceed with the export or if the shipment is returned, they must return the confirmed tariff rate quota certificate to the provincial People's Committee.

Investment Procedures and Incentives from September 3, 2025 On September 3, 2025, the Government issued Decree No. 239/2025/ND-CP amending and supplementing a number of articles of the Government’s Decree No. 31/2021/ND-CP dated March 26, 2021 detailing and guiding the implementation of a number of articles of the Law on Investment. This Decree takes effect from the date of its signing. This Decree adjusts regulations related to investment procedures, investment incentives, and regulations concerning industrial zones, export processing zones, high-tech zones, concentrated digital technology zones, and economic zones. Investment procedures and electronic dossiers The Decree stipulates that investors must submit an electronic version of the investment dossier with a digital signature, which holds the same legal validity as a paper dossier. Investors may choose to submit the dossier directly, online, or via public postal services. The Ministry of Finance and the investment registration authority must publicly disclose the address for receiving electronic versions on the national investment information portal. Investment incentives for special areas Investment projects in industrial zones, export processing zones, and concentrated digital technology zones will continue to enjoy investment incentives even if the area is removed from the planning or its land use purpose is changed. The investment incentive area is determined based on the socio-economic conditions of the commune-level administrative unit before reorganization. Duration and progress of investment projects The duration of an investment project is calculated from the date the investor is granted the decision on land allocation, land lease, or land use change. If there is a delay in land handover, the project duration will be calculated from the actual land handover date. Regulations on technology and environment Projects using outdated technology, causing environmental pollution, or being resource-intensive will not be granted an extension of their operational duration. Projects must comply with national technical standards on safety, energy saving, and environmental protection. Addition of investment incentive sectors The Decree adds investment incentive sectors such as the production of digital technology products, provision of digital technology services, and activities related to the semiconductor industry. These sectors are encouraged for investment in research and development.

Regulations on Opening and Using Payment Accounts On August 31, 2025, the State Bank of Vietnam issued Circular 25/2025/TT-NHNN amending and supplementing a number of articles of Circular No. 17/2024/TT-NHNN on the opening and use of payment accounts at payment service providers. This Circular takes effect on August 31, 2025, with certain provisions effective from December 1, 2025, and March 1, 2026. The Circular applies to credit institutions, branches of foreign banks, and State Treasury units in the opening and use of payment accounts. Regulations on customer identification documents The Circular amends the regulations on the necessary documents for verifying customer information. For individuals who are Vietnamese citizens, a citizen identification card or birth certificate for those under 14 years old is required. For foreigners, a passport and entry visa or equivalent document are needed. For organizations, documents must be provided in accordance with the Law on Anti-Money Laundering. Regulations on payment account names The name of the payment account must be based on the information in the customer's identification documents. For organizations, the account name must include the name of the organization as stated in the establishment license or business registration certificate. Regulations on customer information verification Banks and branches of foreign banks must verify the legality and cross-check customer information. For individuals, a face-to-face meeting and verification of identification documents are required. For organizations, a meeting with the legal representative and verification of information is necessary. Regulations on payment accounts of foreign investors Foreign investors may authorize a depository organization to open and use a payment account in Vietnam. Banks must conduct due diligence on the investor and the authorized organization in accordance with legal regulations on anti-money laundering. The Circular supplements Appendices 02 and 03, requiring banks to provide periodic information on accounts suspected of being related to fraud, deception, or legal violations. This information must be submitted before the 10th of each month and when there is a change in information.

New Regulations on Gold Business Management from October 10, 2025 On August 26, 2025, the Government issued Decree No. 232/2025/ND-CP amending and supplementing a number of articles of the Government’s Decree No. 24/2012/ND-CP dated April 03, 2012, on management of gold business activities. This Decree takes effect on October 10, 2025. The Decree regulates activities related to gold trading, including the production, processing, buying and selling of gold jewelry, art craft, gold bars, the import and export of gold, and other gold trading activities. - Regulations on Gold Trading Activities The Decree clearly stipulates that gold trading activities such as the production, buying, and selling of gold bars and gold jewelry, art craft are conditional business activities and must be licensed by the State Bank. Derivative activities related to gold by commercial banks are also regulated under the provisions of the Law on Credit Institutions. - Conditions for Issuing Gold Bar Production Licenses Enterprises and commercial banks wishing to obtain a Gold Bar Production License must meet conditions such as: Possessing a license for trading gold bars Meeting the minimum charter capital requirement Not having administrative violations in gold trading activities Having internal regulations on gold bar production. - Regulations on Gold Import and Export The State Bank will issue quotas and licenses to enterprises and commercial banks for the import and export of gold bars and gold material. The import and export of gold material must comply with specific conditions and are exempt from taxes as decided by the Prime Minister. Additionally, organizations permitted to produce and trade gold bars must comply with regulations on product standards, warranties, data storage, and information provision to the State Bank. They must also publicly list the buying and selling prices of gold bars and are not allowed to conduct business through authorized agents.

Amendments to Regulations on Forest Exploitation and Temporary Use from August 16, 2025 On August 16, 2025, the Government issued Decree No. 227/2025/ND-CP amending and supplementing a number of articles of the Government’s Decree No. 156/2018/ND-CP of November 16, 2018, detailing the implementation of a number of articles of the Law on Forestry. Decree No. 227/2025/ND-CP adjusts regulations related to the exploitation and temporary use of forests to ensure the rational and sustainable use of forest resources. The subjects of regulation include organizations and individuals involved in forest exploitation and use in socio-economic development projects. Utilization of Forest Exploitation The Decree revises the definition and conditions for the utilization of forest exploitation, including the felling of forest trees during the implementation of silvicultural measures, scientific research, and infrastructure development. Such exploitation must be approved by a competent state authority. Temporary Use of Forests The Decree clearly stipulates the temporary use of forests for socio-economic development projects, including projects approved by the National Assembly or urgent projects related to national defense and security. Conditions for temporary forest use include having an approved plan and not altering the forest's intended use. Conditions and Authority for Approval The approval of temporary forest use plans falls under the authority of the Chairman of the provincial People's Committee, with consultation from relevant ministries and sectors when necessary. The approval dossier includes a proposal document, a current forest status map, and a temporary forest use plan.

Health standards for sperm, egg, and embryo recipients from October 01, 2025 On August 13, 2025, the Ministry of Health issues Circular No. 38/2025/TT-BYT detailing a number of articles of the Government’s Decree No. 207/2025/ND-CP dated July 15, 2025, on giving birth with assisted reproductive technology and conditions for altruistic gestational surrogacy. This Circular takes effect on October 1, 2025. The Circular applies to medical establishments performing assisted reproductive technology, including in vitro fertilization and altruistic gestational surrogacy. The Circular stipulates: Health standards for sperm, egg, and embryo recipients; The handover and receipt of sperm, eggs, and embryos between storage establishments; The minimum list of medical examination and treatment techniques that establishments performing in vitro fertilization must implement. - Health standards for sperm, egg, and embryo recipients Sperm, egg, and embryo recipients shall not have diseases or abnormal conditions of the reproductive organs to an extent that makes pregnancy impossible; diseases that may pose a life-threatening risk to the woman during pregnancy; mental illnesses or other diseases that prevent them from being aware of or control their own behavior. Persons currently suffering from acute illnesses must postpone the embryo transfer until their condition is stabilized. - Regulations on the handover and receipt of sperm, eggs, and embryos The handover and receipt of sperm, eggs, and embryos between storage establishments must be carried out under written consents from both establishments and the depositor or the recipient of the donated specimens. The transportation of samples must be carried out by medical staff, and samples must be preserved in specialized cryopreservation equipment. - Minimum list of medical examination and treatment techniques that establishments performing in vitro fertilization must implement The Circular issues a minimum list of medical examination and treatment techniques that establishments performing in vitro fertilization must implement, including techniques such as oocyte retrieval, embryo transfer, intrauterine insemination, and related tests.
