RESOLUTION
On reduction and amendment of sectors and trades subject to conditional business investment
Pursuant to the Law on Organization of the Government No. 63/2025/QH15;
Pursuant to the Law on Investment No. 143/2025/QH15;
Pursuant to the Law on Promulgation of Legal Documents No. 64/2025/QH15, amended and supplemented under Law No. 87/2025/QH15;
Pursuant to the National Assembly’s Resolution No. 206/2025/QH15 on special mechanisms for addressing difficulties arising from legal regulations;
At the proposal of the Minister of Finance;
The Government hereby promulgates the Resolution on reduction and amendment of sectors and trades subject to conditional business investment.
Article 1. Scope of regulation and subjects of application
1. This Resolution provides for the reduction and amendment of sectors and trades subject to conditional business investment prescribed in Appendix IV to the Law on Investment No. 143/2025/QH15 (hereinafter referred to as the Law on Investment).
2. This Resolution applies to investors and agencies, organizations, and individuals involved in business investment activities.
Article 2. Principles for reduction and amendment of sectors and trades subject to conditional business investment
1. Reduction of sectors and trades not genuinely necessary for reasons of national defence, national security, social order, social safety, social ethics, or community health in accordance with Clause 1 Article 7 of the Law on Investment.
2. Reduction of sectors and trades for which business investment conditions may be managed through standards, technical regulations, or occupational standards under a post-audit management approach.
3. Reduction and amendment of sectors and trades for which business investment conditions are unclear or substantially similar in nature, have already been controlled through other management activities, or sectors and trades for which business investment conditions have not yet been promulgated since their introduction, or are no longer prescribed.
Article 3. List of sectors and trades subject to conditional business investment
1. The List of sectors and trades subject to conditional business investment is provided in the Appendix to this Resolution.
2. Ministers and Heads of ministerial-level agencies shall study and provide substitute solutions and management plans for sectors and trades subject to conditional business investment repealed or amended under this Resolution, ensuring the effectiveness and efficiency of state management.
Article 4. Implementation organization
1. The Ministry of Finance shall review and propose amendments and supplements to Appendix IV to the Law on Investment to ensure consistency and uniformity.
2. Ministers and Heads of ministerial-level agencies shall promulgate standards, technical regulations, or occupational standards for sectors and trades reduced under this Resolution (where necessary), and establish the order and procedures for management under a post-audit approach before July 01, 2026. The Ministry of Science and Technology shall coordinate with ministries and sectors in promulgating technical regulations to ensure effectiveness concurrently with the effective date of this Resolution.
The formulation of legal documents prescribing standards, technical regulations, or occupational standards in this case shall be carried out under fast-track procedures.
3. Ministers, Heads of ministerial-level agencies, and Chairpersons of People’s Committees of provinces and centrally run cities shall implement this Resolution in a manner that ensures openness, transparency, effectiveness, and feasibility; avoiding loopholes, corruption, misconduct, losses, and waste.
4. Heads of agencies and units, cadres, civil servants, public employees, and persons participating in the formulation and promulgation of this Resolution shall be considered for exclusion, exemption, or mitigation of liability in accordance with Clause 7 Article 6 of Resolution No. 206/2025/QH15.
Article 5. Transitional provision
For sectors and trades subject to conditional business investment prescribed in the Law on Investment that are reduced under this Resolution, organizations and individuals may continue using licenses, certificates, professional certificates, certifications, or other forms of written authorization for investment or business issued by competent state agencies until the expiration of such documents.
Article 6. Effect
1. This Resolution takes effect from July 01, 2026, to the end of February 28, 2027, except as provided in Clause 2 of this Article.
2. Where laws, National Assembly’s resolutions, ordinances, resolutions of the National Assembly Standing Committee, or Government’s resolutions containing provisions on sectors and trades subject to conditional business investment relevant to this Resolution are passed or promulgated and become effective during the period from the signing date of this Resolution to the end of February 28, 2027, the corresponding provisions of this Resolution shall cease to be effective from the effective date of such legal documents.
3. During the effective period of this Resolution, where provisions on sectors and trades subject to conditional business investment under this Resolution differ from those of relevant legal documents, the provisions of this Resolution shall prevail, except as provided in Clause 2 of this Article.
