Resolution 141/NQ-CP 2026 policies of Law amending Commercial Law, Competition Law, Law on Foreign Trade Management, and Law on Protection of Consumer Rights

RESOLUTION

On the policies of the Law Amending and Supplementing a Number of Articles of the Commercial Law, the Law on Competition, the Law on Foreign Trade Management and the Law on Protection of Consumer Rights^[1]

THE GOVERNMENT

Pursuant to the February 18, 2025 Law on Organisation of the Government;

Pursuant to the February 19, 2025 Law on Promulgation of Legal Documents; and the June 25, 2025 Law Amending and Supplementing a Number of Articles of the Law on Promulgation of Legal Documents;

Pursuant to the Government’s Decree No. 191/2026/ND-CP of May 29, 2026, promulgating the Working Regulation of the Government;

  Pursuant to the Government’s Decree No. 78/2025/ND-CP of April 1, 2025, detailing a number of articles of, and providing measures to organise and guide the implementation of, the Law on Promulgation of Legal Documents (which is amended and supplemented under Decree No. 187/2025/ND-CP of July 1, 2025);

At the proposal of the Ministry of Industry and Trade in Reports No. 2138/TTr-BCT of March 30, 2026; No. 3390/TTr-BCT of May 14, 2026; and No. 374/BC-BCT of May 30, 2026, on the policies of the Law Amending and Supplementing a Number of Articles of the Commercial Law, the Law on Competition, the Law on Foreign Trade Management and the Law on Protection of Consumer Rights;

Based on votes of the Government’s members,

RESOLVES:

Article 1. To approve 2 policies of the Law Amending and Supplementing a Number of Articles of the Commercial Law, the Law on Competition, the Law on Foreign Trade Management and the Law on Protection of Consumer Rights as proposed by the Ministry of Industry and Trade in Reports No. 2138/TTr-BCT of March 30, 2026; No. 3390/TTr-BCT of May 14, 2026; and No. 374/BC-BCT of May 30, 2026, specifically as follows:

- Policy 1: To carry out decentralisation and power delegation, and reform administrative procedures and business investment conditions in the laws on commerce, foreign trade management, competition, and protection of consumer rights towards: abolishing the business conditions for commercial assessment services in the Commercial Law and the seal registration procedures in commercial assessment activities; amending or annulling a number of provisions in the Law on Foreign Trade Management in order to reform administrative procedures and facilitate trade; and amending and supplementing a number of regulations related to administrative procedures in the enforcement of the competition law, ensuring that they are streamlined, clear and transparent.

- Policy 2: To remove difficulties and obstacles caused during law implementation towards: removing difficulties and obstacles arising in the implementation of the Commercial Law with 2 groups of issues: (i) To remove difficulties and bottlenecks arising in the implementation of the Commercial Law’s provisions on “counterfeit goods”; (ii) To annul or amend a number of provisions of the Commercial Law in order to ensure legal consistency and promote the business environment; removing difficulties and obstacles arising in the implementation of the provisions of the Law on Foreign Trade Management; and removing difficulties and obstacles arising in the implementation of the provisions of the Law on Competition.

Article 2. The Ministry of Industry and Trade shall assume the prime responsibility for, and coordinate with related ministries and agencies in, summarising and responding to the opinions of the Government’s members, finalising the content of policies to ensure the proper implementation of the Party’s guidelines and policies and the State’s laws and, on that basis, proactively organise the formulation of a draft Law Amending and Supplementing a Number of Articles of the Commercial Law, the Law on Competition, the Law on Foreign Trade Management and the Law on Protection of Consumer Rights, and submit it to the Government before July 10, 2026.

Article 3. Standing Deputy Prime Minister Pham Gia Tuc shall be assigned to direct the formulation and finalisation of the draft Law Amending and Supplementing a Number of Articles of the Commercial Law, the Law on Competition, the Law on Foreign Trade Management and the Law on Protection of Consumer Rights.

Article 4. This Resolution takes effect on the date of its signing.

Article 5. The Minister of Industry and Trade and the heads of related agencies shall implement this Resolution.-
