On September 16, 2022, the Government issues Decree No. 65/2022/ND-CP on amending and supplementing a number of articles of Decree No. 153/2020/ND-CP on private placement of corporate bonds and trading of privately placed corporate bonds.
Accordingly, the Government shortens the term of notifying the bond-issuing corporation of receipt from 10 days to 05 days. In particulars, Clause 1, Article 20 on the term of notifying the bond-issuing corporation of receipt is amended as follows:
1. Within 05 working days after completing a private placement of bonds, a corporation shall disclose information about the results of the private placement of bonds to bond-holding investors and send the disclosed information to the concerned Stock Exchange. To-be-disclosed information contents must comply with the Ministry of Finance’s guidance.
Besides, Decree 65 also supplements Clause 1a, Article 20 in case a corporation places unsuccessfully or cancels a private placement of bonds, within 05 working days from the end of the bond distribution, the corporation shall disclose information and send the content of information disclosure to the Stock Exchange.
Besides, this Decree also amends a number of periods of bond distribution as prescribed in Clause 2, Article 10 as follows:
- A bond distribution period of each private placement/offering must not exceed 30 days from the date of information disclosure prior to the private placement/offering.
- The total period of multiple private placements/offerings must not exceed 06 months from the issuance date of the first private placement/offering.”
Decree 65 takes effect on September 16, 2022.
