DECISION

ON COLLECTION, MANAGEMENT ANDUSEOFFEESFOR REGISTRATION OF FRANCHISING ACTIVITIES

THE MINISTER OF FINANCE

PursuanttoDecree35/2006/ND-CPoftheGovernmentdated31March2006makingdetailedprovisions for implementation of the Commercial Lawwith respect to franchising activities;

PursuanttoDecree57/2002/ND-CPoftheGovernmentdated3June2002implementingtheOrdinanceon Feesand Charges;

Pursuant to Decree 24/2006/ND-CP of the Government dated 6 March2006amendingDecree57 above; PursuanttoDecree77/2003/ND-CPoftheGovernmentdated1July2003onfunctions,duties,powersand organizational structure of the Ministry of Finance;

OnreceiptoftheopinionoftheMinistryofIndustryandTradeinOfficialLetter7514/BCT-KH dated25 August 2008;

Havingconsidered the proposal of the Director of the Department for Monetary Policy,

DECIDES:

Article 1

To promulgate the amount of feespayable for registration offranchisingactivities when a Notice of_{satisfaction ofconditions for conducting franchisingactivities is issued}¹_{, as follows:}

1. A foreign business entity granting a franchise in Vietnam:

- Issuance ofnew notice, sixteenmillion five hundred thousand (16,500,000) dong.

- Amendment or addition to the notice, six(6) milliondong.

- Re-issuance of the notice, five hundred thousand (500,000) dong.

2. A Vietnamese businessentity granting a franchiseoverseas:

- Issuance of new notice,four million (4,000,000) dong.

- Amendment, additionor re-issuance of thenotice, five hundred thousand (500,000)dong.

3. A businessentity granting a franchise within Vietnam:

- Issuance of new notice,four million (4,000,000) dong.

- Amendment, additionor re-issuance of thenotice, five hundred thousand (500,000)dong.

Article 2

Fee-payersasstipulatedinarticle1ofthisDecisionmeansbothVietnameseandforeignbusinessentities towhomtheStateauthority(MinistryofIndustryandTradeanditssubsidiaryentities)issuesNoticesof satisfaction ofconditions for conducting franchisingactivities in accordance withlaw.

Article 3

FeesforregistrationoffranchisingactivitiesshallberevenueoftheStatebudgetandshallbemanaged andusedas follows

1. Theauthoritycollectingthefeesstipulatedinclauses1and2ofarticle1shallretainall(100%)of such fees tocoverthecostsof issuingNoticesandcollectionoffees inaccordancewith the stipulated regime.

2.Theauthoritycollectingthefeesstipulatedinclause3ofarticle1shallpayall(100%)ofsuchfees into the State Budget in accordancewith the stipulated regime.

Article 4

ThisDecisionshallbeoffullforceandeffectfifteen(15)daysafterthedateonwhichitispublishedinthe Official Gazette.

Article 5

Othermattersrelatingtothecollection,payment,management,use,receipt,andpublicnotificationoffees payableforregistrationoffranchisingactivitiesandwhicharenotregulatedinthisDecisionshallbe implementedin accordance with the following Circulars of the Ministry of Finance:

- Circular 63/2002/TT-BTCdated 24July2002 guidingfees andcharges;

- Circular 45/2006/TT-BTCdated 25 May2006 amending Circular63 above;

- Circular60/2007/TT-BTCdated14June2007guidingimplementationoftheLawonTaxManagement.

Article 6

Fee-payerspayingfeesforregistration offranchisingactivitiesandother bodies concernedshallbe responsible for implementation of this Decision.
