CIRCULAR

Decentralizing the authority for the issuance, extension, amendment, supplementation, re-issuance, suspension, termination of operation, and revocation of Certificates of operation registration and Certificates of registration for the establishment of Representative Offices in Vietnam of foreign non-governmental organizations

Pursuant to the February 18, 2025 Law on the Organization of the Government;

Pursuant to the Government’s Decree No. 28/2025/ND-CP of February 24, 2025, defining the functions, tasks, powers and organizational structure of the Ministry of Foreign Affairs;

Pursuant to the Government’s Decree No. 58/2022/ND-CP of August 31, 2022 on the registration and management of the operations of foreign non-governmental organizations in Vietnam;

At the proposal of the Director of the Department of External Relations and Cultural Diplomacy;

The Minister of Foreign Affairs promulgates the Circular decentralizing the authority for the issuance, extension, amendment, supplementation, re-issuance, suspension, termination of operation, and revocation of Certificates of operation registration and Certificates of registration for the establishment of Representative Offices in Vietnam of foreign non-governmental organizations.

Article 1. Scope of regulation and subjects of application

1. Scope of regulation

This Circular prescribes detailed regulations on the decentralization of authority for the issuance, extension, amendment, supplementation, re-issuance, suspension, termination of operation, and revocation of Certificates of operation registration and Certificates of registration for the establishment of Representative Offices in Vietnam of foreign non-governmental organizations in accordance with the provisions of Articles 10 to Article 19 of the Government’s Decree No. 58/2022/ND-CP of August 31, 2022 on the registration and management of the operations of foreign non-governmental organizations in Vietnam;

2. Subjects of application

This Circular applies to relevant central-level agencies and organizations, the People’s Committees of provinces and centrally-run cities, foreign non-governmental organizations operating in development assistance, humanitarian aid for non-profit purposes, and other purposes in Vietnam.

Article 2. Decentralization of authority for the issuance, extension, amendment, supplementation, re-issuance, suspension, termination of operation, and revocation of Certificates of operation registration and Certificates of registration for the establishment of Representative Offices in Vietnam of foreign non-governmental organizations

1. The issuance, extension, amendment, supplementation, re-issuance, suspension, termination of operation, and revocation of Certificates of operation registration and Certificates of registration for the establishment of Representative Offices in Vietnam of foreign non-governmental organizations are prescribed in the Government’s Decree No. 58/2022/ND-CP of August 31, 2022 on the registration and management of the operations of foreign non-governmental organizations in Vietnam (Decree No. 58/2022/ND-CP) implemented by the Department of External Relations and Cultural Diplomacy.

2. Principles of decentralization:

a) The Department of External Relations and Cultural Diplomacy shall be legally accountable to the Ministry of Foreign Affairs for the results of the performance of the tasks and powers decentralized under Clause 1.

b) The Department of External Relations and Cultural Diplomacy shall, on an annual basis, report to the Minister of Foreign Affairs and assess the implementation of the decentralized tasks and powers.

c) The Department of External Relations and Cultural Diplomacy shall not further decentralize the tasks and powers already decentralized to it.

Article 3. Procedures and processes for the issuance of Certificates of operation registration of foreign non-governmental organizations

1. The foreign non-governmental organization, on the basis of satisfying the conditions prescribed in Article 10 of Decree No. 58/2022/ND-CP, shall submit directly, via postal service, or online to the Committee for Foreign Non-Governmental Organization Affairs 01 dossier for application for the issuance of a Certificate of operation registration, comprising the following documents:

a) 01 application for the issuance of a Certificate of operation registration, using Form No. 03a prescribed in the Appendix enclosed with this Circular.

b) 01 copy of the Charter and 01 copy of the document evidencing the legal status of the foreign non-governmental organization.

c) 01 detailed list of programs, projects, and non-project activities proposed to be implemented in Vietnam over a period of 03 years.

d) 01 dossier for approval of the Representative, comprising the following documents: 01 appointment decision signed and sealed by the head of the organization; 01 curriculum vitae of the person proposed for approval as the Representative; 01 criminal record certificate of the person proposed for approval as the Representative, issued by the competent authority of the country of which such person is a national or of the country in which such person has resided permanently during the most recent 06 months; 01 copy of the valid passport if the person proposed for approval as the Representative is a foreign national or 01 copy of one of the following documents: passport, identity card, citizen identity card, or certificate of identity, if the appointed person is a Vietnamese national.

2. Documents in foreign languages included in the above dossier must be consular legalized and accompanied by a Vietnamese translation certified in accordance with the laws of Vietnam, except where consular legalization is exempted under an international treaty to which Vietnam is a member or on the basis of reciprocity.

3. Within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall examine the components of the application dossier submitted by the foreign non-governmental organization in accordance with Clauses 1 and 2 of this Article and request the foreign non-governmental organization to supplement the dossier where necessary.

4. Upon receipt of a complete dossier, within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall send written requests for opinions to the Ministry of Public Security, the Ministry of Home Affairs, the Ministry of Finance, and the State Bank of Vietnam, the ministry or ministerial-level agency exercising specialized state management over the sector in which the foreign non-governmental organization registers its operation, the People’s Committee of the province or centrally-run city where the foreign non-governmental organization registers to carry out its activities and the authority approving the receipt of aid from the foreign non-governmental organization.

5. Within 10 working days from the date of receipt of the written request from the Committee for Foreign Non-Governmental Organization Affairs, the consulted authorities shall provide written responses.

6. Within 02 working days from the date of receipt of all opinions from the consulted authorities, the Committee for Foreign Non-Governmental Organization Affairs shall forward the dossier of the foreign non-governmental organization specified in Clauses 1 and 2 of this Article, together with the opinions of the relevant authorities, to the Department of External Relations and Cultural Diplomacy for appraisal.

7. Within 10 working days from the date of receipt of the complete dossier of the foreign non-governmental organization prescribed in Clause 1 and Clause 2 of this Article, together with the opinions of the relevant authorities, the Department of External Relations and Cultural Diplomacy shall appraise the dossier, decide on the issuance or non-issuance of the Certificate of operation registration, and notify the Committee for Foreign Non-Governmental Organization Affairs of the result. The Certificate of operation registration shall be issued using Form No. 01 prescribed in the Appendix enclosed with this Circular. The appraisal shall be conducted in the form of consolidation of written opinions or the convening of an appraisal meeting in respect of the following contents:

a) The legality and completeness of the dossier;

b) The consistency of the objectives and purposes of operation of the foreign non-governmental organization with the guidelines, policies, and laws of Vietnam, and with the specific development objectives of ministries, sectors, and localities;

c) The legal status and operational history of the foreign non-governmental organization;

d) The identity and background of the Representative;

dd) The effectiveness and socio-economic, security, and social order impacts of the activities of the foreign non-governmental organization.

8. Within 30 working days from the date of receipt of the complete and valid dossier of the foreign non-governmental organization specified in Clauses 1 and 2 of this Article, the Committee for Foreign Non-Governmental Organization Affairs shall deliver the Certificate of operation registration to the foreign non-governmental organization either directly or via postal service. Where the dossier is not approved, the Committee for Foreign Non-Governmental Organization Affairs shall provide written notification clearly stating the reasons.

Article 4. Procedures and processes for the extension of Certificates of operation registration of foreign non-governmental organizations

1. At least 60 days prior to the expiry date of the Certificate of operation registration, the foreign non-governmental organization shall submit directly, via postal service, or online to the Committee for Foreign Non-Governmental Organization Affairs 01 dossier for application for extension of the Certificate of operation registration, comprising the following documents:

a) 01 application for extension of the Certificate of operation registration, using Form No. 03a prescribed in the Appendix enclosed with this Circular.

b) 01 original of the Certificate of operation registration;

c) 01 summary report on the activities of the foreign non-governmental organization implemented in Vietnam during the most recent 03 years, and a specific operational plan proposed to be implemented during the subsequent 03 years;

2. Documents in foreign languages included in the above dossier must be accompanied by a Vietnamese translation and certified in accordance with the laws of Vietnam.

b) The procedures and processes for the extension of Certificates of operation registration shall be implemented in accordance with Clauses 3, 4, 5, 6, 7, and 8, Article 3 of this Circular.

Article 5. Procedures and processes for the amendment, supplementation, and re-issuance of Certificates of operation registration of foreign non-governmental organizations

1. The foreign non-governmental organization shall submit directly, via postal service, or online to the Committee for Foreign Non-Governmental Organization Affairs 01 dossier for application for the amendment, supplementation, or re-issuance of the Certificate of operation registration, comprising the following documents:

a) 01 application clearly stating the requested contents for amendment or supplementation, or the reason for requesting re-issuance (due to loss, outdated condition, or damage), using Form No. 03b prescribed in the Appendix enclosed with this Circular;

b) 01 original of the Certificate of operation registration, in the case of an application for amendment, supplementation, or re-issuance due to outdated condition or damage. 01 copy of the Certificate of operation registration, in the case of an application for re-issuance due to loss of the original;

c) Documents relevant to the requested amendment, supplementation, or re-issuance.

2. Within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall examine the components of the application dossier submitted by the foreign non-governmental organization in accordance with Clause 1 of this Article and request the foreign non-governmental organization to supplement the dossier where necessary. In the case of applying for re-issuance of a Certificate of operation registration, the Committee for Foreign Non-Governmental Organization Affairs shall examine the contents of the application dossier submitted by the foreign non-governmental organization.

3. Upon receipt of the complete dossier of the foreign non-governmental organization in accordance with Clause 1 of this Article, within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall send written requests for opinions to ministries, ministerial-level agencies, and agencies attached to the Government, the People’s Committee of the province or centrally-run city where the foreign non-governmental organization registers to implement its activities, the authority approving the receipt of aid from the foreign non-governmental organization in relation to the contents proposed to be amended or supplemented in the Certificate of operation registration.

4. Within 10 working days from the date of receipt of the written request from the Committee for Foreign Non-Governmental Organization Affairs, the consulted authorities shall provide written responses.

5. Within 02 working days from the receipt of all opinions of the relevant authorities, the Committee for Foreign Non-Governmental Organization Affairs shall forward the dossier of the foreign non-governmental organization prescribed in Clause 1 of this Article, together with the opinions of the relevant authorities, to the Department of External Relations and Cultural Diplomacy for appraisal.

6. Within 07 working days from the date of receipt of the complete dossier of the foreign non-governmental organization in accordance with Clause 1 of this Article, together with the opinions of the relevant authorities, the Department of External Relations and Cultural Diplomacy shall appraise the dossier, decide on the amendment or non-amendment, supplementation or non-supplementation, re-issuance or non-re-issuance of the Certificate of operation registration, and notify the Committee for Foreign Non-Governmental Organization Affairs of the result. The appraisal shall be conducted in the form of consolidation of written opinions or the convening of an appraisal meeting in respect of the contents proposed for amendment, supplementation, and re-issuance of the Certificate of operation registration. The Certificate of operation registration shall be amended, supplemented, or re-issued using Form No. 01 prescribed in the Appendix enclosed with this Circular.

7. Within 25 working days from the date of receipt of the complete and valid dossier of the foreign non-governmental organization in accordance with Clause 1 of this Article, the Committee for Foreign Non-Governmental Organization Affairs shall deliver the amended, supplemented, or re-issued Certificate of operation registration to the foreign non-governmental organization either directly or via postal service. If the dossier is not approved, the Committee for Foreign Non-Governmental Organization Affairs shall provide written notification clearly stating the reasons.

Article 6. Procedures and processes for the issuance of Certificates of registration for the establishment of Representative Offices of foreign non-governmental organizations

1. The foreign non-governmental organization shall, on the basis of satisfying the conditions prescribed in Article 14 of Decree No. 58/2022/ND-CP, submit directly, via postal service, or online to the Committee for Foreign Non-Governmental Organization Affairs 01 dossier for application for the issuance of Certificates of registration for the establishment of Representative Offices, comprising the following documents:

a) 01 application for the issuance of a Certificate of registration for the establishment of a Representative Office, using Form No. 03a prescribed in the Appendix enclosed with this Circular;

b) 01 copy of the Charter and 01 copy of the document evidencing the legal status of the foreign non-governmental organization;

c) 01 detailed list of programs and projects proposed to be implemented in Vietnam over a period of 05 years in one or more localities, the scale and nature of which require regular, on-site administration and supervision;

d) 01 detailed list of programs, projects, and non-project activities implemented during 03 consecutive years prior to the time of submission of the application dossier for the issuance of a Certificate of registration for the establishment of a Representative Office (if any);

dd) 01 dossier for approval of the Chief of the Representative Office, comprising the following documents: 01 appointment decision signed and sealed by the head of the organization; 01 curriculum vitae of the person proposed for approval as the Chief of the Representative Office; 01 criminal record certificate of the person proposed for approval as the Chief of the Representative Office, issued by the competent authority of the country of which such person is a national or of the country in which such person has resided permanently during the most recent 06 months; 01 copy of the valid passport if the person proposed for approval as the Chief of the Representative Office is a foreign national or 01 copy of one of the following valid documents: passport, identity card, citizen identity card, or certificate of identity, if the person proposed for approval as the Chief of the Representative Office is a Vietnamese citizen;

2. Documents in foreign languages included in the above dossier must be consular legalized and accompanied by a Vietnamese translation certified in accordance with the laws of Vietnam, except where consular legalization is exempted under an international treaty to which Vietnam is a member or on the basis of reciprocity.

3. Within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall examine the components of the application dossier submitted by the foreign non-governmental organization in accordance with Clauses 1 and 2 of this Article and request the foreign non-governmental organization to supplement the dossier where necessary.

4. Upon receipt of the complete dossier of the foreign non-governmental organization in accordance with Clauses 1 and 2 of this Article, within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall send written requests for opinions to the Ministry of Public Security, the Ministry of Home Affairs, and the Ministry of Finance, the State Bank of Vietnam, the ministries or ministerial-level agencies exercising specialized state management over the sector in which the foreign non-governmental organization registers to implement its activities, the People’s Committee of the provinces or centrally-run cities where the foreign non-governmental organization registers to implement its activities and locate the headquarters of its Representative Office and the authority approving the receipt of aid from the foreign non-governmental organization.

5. Within 10 working days from the date of receipt of the written request from the Committee for Foreign Non-Governmental Organization Affairs, the consulted authorities shall provide written responses.

6. Within 02 working days from the receipt of all opinions of the relevant authorities, the Committee for Foreign Non-Governmental Organization Affairs shall forward the dossier of the foreign non-governmental organization prescribed in Clauses 1 and 2 of this Article, together with the opinions of the relevant authorities, to the Department of External Relations and Cultural Diplomacy for appraisal.

7. Within 10 working days from the date of receipt of the complete dossier of the foreign non-governmental organization prescribed in Clauses 1 and 2 of this Article, together with the opinions of the relevant authorities, the Department of External Relations and Cultural Diplomacy shall appraise the dossier, decide on the issuance or non-issuance of the Certificate of registration for the establishment of a Representative Office, and notify the Committee for Foreign Non-Governmental Organization Affairs of the result. The Certificate of registration for the establishment of a Representative Office shall be issued using Form No. 02 prescribed in the Appendix enclosed with this Circular. The appraisal shall be conducted in the form of consolidation of written opinions or the convening of an appraisal meeting in respect of the following contents:

a) The legality and completeness of the dossier;

b) The consistency of the objectives and purposes of operation of the foreign non-governmental organization with the guidelines, policies, and laws of Vietnam, and with the specific development objectives of ministries, sectors, and localities;

c) The legal status and operational history of the foreign non-governmental organization;

d) The identity and background of the Chief of the Representative Office;

dd) The effectiveness and socio-economic, security, and social order impacts of the activities of the foreign non-governmental organization.

8. Within 30 working days from the date of receipt of the complete and valid dossier of the foreign non-governmental organization specified in Clauses 1 and 2 of this Article, the Committee for Foreign Non-Governmental Organization Affairs shall deliver the Certificate of registration for the establishment of a Representative Office to the foreign non-governmental organization either directly or via postal service. If the dossier is not approved, the Committee for Foreign Non-Governmental Organization Affairs shall provide written notification clearly stating the reasons.

Article 7. Procedures and processes for the extension of Certificates of registration for the establishment of Representative Offices of foreign non-governmental organizations

1. At least 60 days prior to the expiry date of the Certificate of registration for the establishment of a Representative Office, the foreign non-governmental organization shall submit directly, via postal service, or online to the Committee for Foreign Non-Governmental Organization Affairs 01 dossier for application for extension of the Certificate of registration for the establishment of a Representative Office, comprising the following documents:

a) 01 application for extension of the Certificate of registration for the establishment of a Representative Office, using Form No. 03a prescribed in the Appendix enclosed with this Circular;

b) 01 original of the Certificate of registration for the establishment of a Representative Office;

c) 01 summary report on the activities of the foreign non-governmental organization implemented in Vietnam during the validity period of the issued Certificate of registration for the establishment of a Representative Office, and a specific operational plan for the subsequent 05 years.

2. Documents in foreign languages included in the above dossier must be accompanied by a Vietnamese translation and certified in accordance with the laws of Vietnam.

3. The procedures and processes for extension of the Certificate of registration for the establishment of a Representative Office shall be implemented in accordance with Clauses 3, 4, 5, 6, 7, and 8 of Article 6 of this Circular.

Article 8. Procedures and processes for the amendment, supplementation, and re-issuance of Certificates of registration for the establishment of Representative Offices of foreign non-governmental organizations

1. The foreign non-governmental organization shall submit directly, via postal service, or online to the Committee for Foreign Non-Governmental Organization Affairs 01 dossier for application for the amendment, supplementation, or re-issuance of the Certificate of registration for the establishment of a Representative Office, comprising the following documents:

a) 01 application clearly stating the requested contents for amendment or supplementation, or the reason for requesting re-issuance (due to loss, outdated condition, or damage), using Form No. 03b prescribed in the Appendix enclosed with this Circular;

b) 01 original of the Certificate of registration for the establishment of a Representative Office, in the case of an application for amendment, supplementation, or re-issuance due to outdated condition or damage. 01 copy of the Certificate of registration for the establishment of a Representative Office, in the case of an application for re-issuance due to loss of the original;

c) Documents relevant to the requested amendment, supplementation, or re-issuance.

2. Within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall examine the components of the application dossier submitted by the foreign non-governmental organization in accordance with Clause 1 of this Article and request the foreign non-governmental organization to supplement the dossier where necessary. In the case of an application for re-issuance of a Certificate of registration for the establishment of a Representative Office, the Committee for Foreign Non-Governmental Organization Affairs shall examine the contents of the application dossier submitted by the foreign non-governmental organization.

3. Upon receipt of the complete application dossier of the foreign non-governmental organization in accordance with Clause 1 of this Article, within 02 working days, the Committee for Foreign Non-Governmental Organization Affairs shall send written requests for opinions to ministries and ministerial-level agencies, agencies attached to the Government in relation to the contents proposed to be amended or supplemented, the People’s Committee of the province or centrally-run city where the foreign non-governmental organization registers to implement its activities and locate the headquarters of its Representative Office (in the case of relocation of the headquarters of the Representative Office) and the authority approving the receipt of aid from the foreign non-governmental organization in relation to the contents proposed to be amended or supplemented in the Certificate of registration for the establishment of a Representative Office.

4. Within 10 working days from the date of receipt of the written request from the Committee for Foreign Non-Governmental Organization Affairs, the consulted authorities shall provide written opinions.

5. The Committee for Foreign Non-Governmental Organization Affairs shall forward the dossier of the foreign non-governmental organization prescribed in Clause 1 of this Article, together with the opinions of the relevant authorities, to the Department of External Relations and Cultural Diplomacy for appraisal.

6. Within 07 working days from the date of receipt of the complete dossier of the foreign non-governmental organization prescribed in Clause 1 of this Article, together with the opinions of the relevant authorities, the Department of External Relations and Cultural Diplomacy shall appraise the dossier, decide on the amendment or non-amendment, supplementation or non-supplementation, re-issuance or non-re-issuance of the Certificate of registration for the establishment of a Representative Office, and notify the Committee for Foreign Non-Governmental Organization Affairs of the result. The appraisal shall be conducted in the form of consolidation of written opinions or the convening of an appraisal meeting in respect of the contents proposed for amendment, supplementation, and re-issuance of the Certificate of registration for the establishment of a Representative Office. The Certificate of registration for the establishment of a Representative Office shall be amended, supplemented, or re-issued using Form No. 02 prescribed in the Appendix enclosed with this Circular.

7. Within 25 working days from the date of receipt of the complete and valid dossier of the foreign non-governmental organization prescribed in Clause 1 of this Article, the Committee for Foreign Non-Governmental Organization Affairs shall deliver the amended, supplemented, or re-issued Certificate of registration for the establishment of a Representative Office to the foreign non-governmental organization either directly or via postal service. If the dossier is not approved, the Committee for Foreign Non-Governmental Organization Affairs shall provide written notification clearly stating the reasons.

Article 9. Suspension of the operation of foreign non-governmental organizations

1. Upon detecting that a foreign non-governmental organization has committed a violation of law, or at the request of a competent state authority in the cases prescribed in Clause 1 of Article 18 of Decree No. 58/2022/ND-CP, the Department of External Relations and Cultural Diplomacy shall consider issuing a decision on the suspension of the operation of the foreign non-governmental organization on the basis of the opinions of the relevant state management authorities. The obtaining of opinions shall be implemented in the form of convening a meeting or sending written requests for opinions to the relevant state management authorities. If the Department of External Relations and Cultural Diplomacy obtains opinions in writing, the consulted authorities shall, within 10 working days from the date of receipt of the written request from the Department of External Relations and Cultural Diplomacy, provide written responses for consolidation and decision-making by the Department of External Relations and Cultural Diplomacy. If there are differing opinions among the authorities, the Department of External Relations and Cultural Diplomacy shall convene a meeting to reach agreement. The decision on suspension of operation shall be forwarded to the Committee for Foreign Non-Governmental Organization Affairs for notification to the foreign non-governmental organization.

2. Within 05 working days after the issuance of the decision on suspension of operation, the Committee for Foreign Non-Governmental Organization Affairs shall notify the foreign non-governmental organization.

3. Within a period not exceeding 30 working days from the date of receipt of the decision on suspension of operation, the foreign non-governmental organization shall remedy the violations specified in the decision on suspension of operation and notify the Committee for Foreign Non-Governmental Organization Affairs of the remedial results.

Article 10. Termination of the operation of foreign non-governmental organizations

1. Upon detecting that a foreign non-governmental organization has committed a violation of law, or at the request of a competent state authority in the cases prescribed in Clause 1 of Article 19 of Decree No. 58/2022/ND-CP, the Department of External Relations and Cultural Diplomacy shall consider issuing a decision on the termination of operation and revocation of the Certificate of Registration of the foreign non-governmental organization on the basis of the opinions of the relevant state management authorities. The obtaining of opinions shall be implemented in the form of convening a meeting or sending written requests for opinions. If the Department of External Relations and Cultural Diplomacy obtains opinions in writing, the consulted authorities shall, within 10 working days from the date of receipt of the written request from the Department of External Relations and Cultural Diplomacy, provide written responses for consolidation and decision-making by the Department of External Relations and Cultural Diplomacy. If there are differing opinions among the authorities, the Department of External Relations and Cultural Diplomacy shall convene a meeting to reach agreement. The decision on termination of operation and revocation of the Certificate of Registration of the foreign non-governmental organization shall be forwarded to the Committee for Foreign Non-Governmental Organization Affairs for notification to the foreign non-governmental organization.

2. Within 05 working days after the issuance of the decision on termination of operation and revocation of the Certificate of Registration, the Committee for Foreign Non-Governmental Organization Affairs shall notify the foreign non-governmental organization of the requirement to terminate its operation and implement the revocation of the Certificate of Registration.

3. Within a period not exceeding 60 working days from the date of receipt of the decision on termination of operation and revocation of the Certificate of Registration, the foreign non-governmental organization shall settle matters relating to its headquarters, accommodation, personnel, working facilities, financial obligations (if any), and matters relating to organizations and individuals in accordance with the laws of Vietnam.

4. In the event that a foreign non-governmental organization decides to voluntarily terminate its operation, no later than 60 days prior to the official termination date, such foreign non-governmental organization shall provide written notice to the Department of External Relations and Cultural Diplomacy and the Committee for Foreign Non-Governmental Organization Affairs, enclosing the issued Certificate of Registration, an audited report on assets and finances, and evidence of completion of related obligations in accordance with the laws of Vietnam.

Article 11. Implementation provision

1. This Circular takes effect from February 02, 2026.

2. Transitional provisions:

a) Certificates of operation registration and Certificates of registration for the establishment of Representative Offices in Vietnam of foreign non-governmental organizations issued prior to the effective date of this Circular shall remain valid until the expiry date stated in such Certificates of Registration. Upon implementing the procedures for amendment, supplementation, extension, or re-issuance of such Certificates of Registration, and on the basis of satisfying the prescribed conditions, the Department of External Relations and Cultural Diplomacy shall issue Certificates of Registration to foreign non-governmental organizations in accordance with Form No. 01 and Form No. 02 enclosed with this Circular.

b) Applications for the issuance of a Certificate of operation registration or a Certificate of registration for the establishment of a Representative Office submitted prior to the effective date of this Circular shall be considered for issuance of a Certificate of operation registration in accordance with Form No. 01 or a Certificate of registration for the establishment of a Representative Office in accordance with Form No. 02 enclosed with this Circular after the effective date of this Circular.

3. Any difficulties or problems arising in the course of implementing this Circular should be promptly reported to the Ministry of Foreign Affairs for consideration, amendment, and supplementation./.
