SUMMARY

Circular 33/2026/TT-NHNN prescribing debt purchase and sale of credit institutions and foreign bank branches

New Regulations on Debt Purchase and Sale of Credit Institutions

On June 30, 2026, the State Bank of Vietnam issued Circular No. 33/2026/TT-NHNN regulating the debt purchase and sale of credit institutions and foreign bank branches, effective from November 20, 2026.

This Circular applies to credit institutions, foreign bank branches operating under the Law on Credit Institutions, as well as member banks in the International Financial Center in Vietnam. However, the Circular does not apply to the trading of bad debts between credit institutions and the Vietnam Asset Management Company, nor to the purchase and sale of debts arising from loan agreements between credit institutions and foreign bank branches.

- Conditions and Principles for Debt purchase and sale

The debt to be traded must have complete documentation, must not be under seizure, and must not be used to secure the performance of civil obligations. Debt purchase and sale must comply with signed agreements and do not require a license from the State Bank when selling debts. Credit institutions are not allowed to repurchase debts they have sold and are not permitted to extend credit to customers to purchase debts owned by themselves.

- Methods and Valuation of Debt

Credit institutions may choose to purchase and sell debts through agreements or auctions. The valuation of the debt can be conducted by the institution itself or by hiring a valuation enterprise. The value of the debt is determined based on the book value, classification of debt groups, and other financial factors.

- Regulations on Debt Purchase and Sale Contracts

Debt trading contracts must include essential contents such as the date of signing, names and addresses of the parties, details of the debt, sale price of the debt, payment method, and the rights and obligations of the parties. Any amendments or supplements to the contract must comply with the Circular and relevant laws.

- Debt purchase and sale by electronic means

Credit institutions may conduct debt trading via electronic means, complying with regulations on electronic transactions and information security. The information system must ensure a cybersecurity level of 3 or higher.

This Circular replaces Circular No. 09/2015/TT-NHNN and Circular No. 18/2022/TT-NHNN, and requires credit institutions to update their internal regulations accordingly before engaging in debt purchase and sale.
