CIRCULAR
Guiding the order and procedures for formulation and promulgation of legal documents by the State Bank of Vietnam
Pursuant to the Law on State Bank of Vietnam dated June 16, 2010;
Pursuant to the Law on Promulgation of Legal Documents dated June 22, 2015;
Pursuant to the Ordinance on Consolidation of Legal Documents dated March 22, 2012;
Pursuant to the Government’s Decree No. 34/2016/ND-CP dated May 14, 2016, detailing a number of articles of, and measures for implementing, the Law on Promulgation of legal Documents;
Pursuant to the Government's Decree No. 156/2013/ND-CP dated November 11, 2013, defining the functions, tasks, powers and organizational structure of the State Bank of Vietnam;
At the proposal of the Director of the Department of Legal Affairs,
The Governor of the State Bank of Vietnam hereby promulgates the Circular guiding the order and procedures for formulation and promulgation of legal documents by the State Bank of Vietnam.
Chapter I
GENERAL PROVISIONS
Article 1. Scope of regulation
1. This Circular provides guidance on the order and procedures for formulation, promulgation and consolidation of legal documents in the fields of monetary, banking and foreign exchange promulgated or submitted to the competent authority for promulgation by the State Bank of Vietnam (hereinafter referred to as the State Bank).
2. Legal documents prescribed in this Circular include:
a) Law and ordinance;
b) Decrees of the Government (hereinafter referred to as decrees) and decisions of the Prime Minister;
c) Circular.
3. Order and procedures for formulation and promulgation of the National Assembly's resolutions and the National Assembly Standing Committee's Resolutions that are drafted by the State Bank; joint circulars between the Governor of the State Bank of Vietnam (hereinafter referred to as the Governor) and Chief Justice of the People’s Supreme Court and procurator General of the Supreme People’s Procuracy shall comply with the Law on Promulgation of Legal Documents and the Government's Decree No. 34/2016/ND-CP dated May 14, 2016, detailing a number of articles of, and providing measures for implementing, the Law on Promulgation of Legal Documents (hereinafter referred to as the Decree No. 34/2016/ND-CP).
Article 2. Subjects of application
This Circular applies to units of the State Bank and organizations and individuals related to the formulation, promulgation and consolidation of legal documents on monetary, banking and foreign exchange.
Article 3. Leading and directing the formulation and promulgation of legal documents
1. The Governor shall be in charge of overall, and direct the formulation, promulgation and consolidation of legal documents to ensure quality and deadline as prescribed.
2. The Deputy Governor shall direct the assigned units in the formulation and promulgation of legal documents under assignment of the Governor.
For projects or draft legal documents with complicated contents and involves various fields or other important issues, the Deputy Governor shall report the Governor for direction.
Article 4. Assigning units in charge of drafting legal documents
1. The Department of Legal Affairs shall assume the prime responsibility for, and coordinate with units of the State Bank, in assisting the Governor to organize and formulate law and ordinance projects that are drafted by the State Bank, except for the case the Governor assigns other units to preside over drafting.
2. Based on functions and tasks of units, the scope of regulations and the complexity of the documents, the Governor shall assign the unit to preside over drafting of the Prime Minister's decrees and decisions that are drafted by the State Bank, and circulars.
Article 5. Drafting the detailing documents
The draft of a detailing document shall be prepared and submitted together with the draft law or ordinance and shall be promulgated to be effective at the same time with the document or article, clause or point being detailed.
Article 6. Format and techniques of presentation of legal documents
Format and techniques of presentation of legal documents shall comply with Chapter V and Appendix I of the Decree No. 34/2016/ND-CP.
Chapter II
MAKING PROPOSALS FOR FORMULATION OF LEGAL DOCUMENTS AND MAKING LISTS OF DOCUMENTS DETAILING LAWS AND ORDINANCES
Section 1. MAKING PROPOSALS FOR FORMULATION OF LAWS, ORDINANCES AND DECREES
Article 7. Plans for making law or ordinance formulation proposals
1. When there is an intention to formulate laws or ordinances or when being assigned by the Governor, the unit assigned to preside over drafting laws or ordinances specified in Clause 1, Article 4 of this Circular shall develop the plan for making law ordinance formulation proposals and submit it to the Governor.
2. The plan for making law or ordinance formulation proposals must specify name of the law or ordinance expected to be formulated, time for dossier preparation, time for opinion collection and time for submitting the Government for consideration and approval.
Article 8. Making law or ordinance formulation proposals
1. After obtaining the Governor's approval of the plan for making law or ordinance formulation proposals, the assigned unit shall assume the prime responsibility for, and cooperate with relevant units, in:
a) Carrying out activities specified in Clause 1, Article 34, and Article 35 of the Law on Promulgation of Legal Documents, Articles 5, 6, 7, 8 and 9 of the Decree No. 34/2016/ND-CP;
b) Preparing dossier of request for law or ordinance formulation in accordance with Clause 1, Article 37 of the Law on Promulgation of Legal Documents;
c) Submitting the Governor or the managing Deputy Governor to collect opinions on law or ordinance formulation proposals prescribed in Article 36 of the Law on Promulgation of Legal Documents, Articles 10 and 11 of the Decree No. 34/2016/ND-CP; studying, accepting and explaining opinions; completing dossiers of request for law or ordinance formulation;
d) Submitting the Governor or the managing Deputy Governor to send the Ministry of Justice for appraisal of law or ordinance formulation proposals; studying, accepting and explaining the Ministry of Justice’s appraisal opinions; completing dossiers in accordance with Clause 2, Article 40 of the Law on Promulgation of Legal Documents;
dd) Submitting the Governor or the managing Deputy Governor to submit the Government for consideration and approval of the law or ordinance formulation proposals; studying and completing dossiers of request for law or ordinance formulation on the basis of the Government's Resolutions;
e) Submitting the Governor or the managing Deputy Governor to send the dossiers of request for law or ordinance formulation that have been completed under the Government's Resolutions to the Ministry of Justice before December 31 every year:
g) Making a copy and sending to the Office the approved law or ordinance proposals for summarizing in the working program of the State Bank and the Government.
2. In the course of making law or ordinance formulation proposals, if the law or ordinance formulation proposals contain complicated contents with different opinions, the proposal-making unit shall report the Governor or the managing Deputy Governor for consulting the State Bank's leadership.
Article 9. Adjustments to law- and ordinance-making programs
The adjustment of law- and ordinance-making programs shall comply with Article 51 of the Law on Promulgation of Legal Documents and Article 24 of the Decree No. 34/2016/ND-CP.
Article 10. Making decree formulation proposals
1. Based on the functions and tasks, units of the State Bank that make decree formulation proposals or are assigned to be in charge of formulating decrees shall:
a) Carryout activities specified in Clauses 1, 2 and 3, Article 85 of the Law on Promulgation of Legal Documents, Articles 5, 6, 7, 8 and 9 of the Decree No. 34/2016/ND-CP;
b) Prepare dossiers of request for decree formulation in accordance with Article 87 of the Law on Promulgation of Legal Documents;
c) Submit the Governor or the managing Deputy Governor to collect opinions on decree formulation proposals prescribed in Article 86 of the Law on Promulgation of Legal Documents, Articles 10 and 11 of the Decree No. 34/2016/ND-CP; study, accept and explain contributed opinions; complete dossiers of request for decree formulation and send them to the Department of Legal Affairs for opinions before sending to the Ministry of Justice for appraisal;
d) Submit the Governor or the managing Deputy Governor to send the Ministry of Justice for appraisal of decree formulation proposals; study, accept and explain the Ministry of Justice’s appraisal opinions; complete dossiers in accordance with Clause 2, Article 89 of the Law on Promulgation of Legal Documents;
dd) Submit the Governor or the managing Deputy Governor to submit the Prime Minister for consideration and approval of decree formulation proposals;
e) Make a copy and send to the Office the approved decree formulation proposals for summarizing in the working programs of the State Bank and the Government; send the Department of Legal Affairs the approved decree formulation proposals for monitoring and urging.
In case it is necessary to adjust the decree formulation proposals, the proposal-making unit shall coordinate with the Office in implementing the adjustment in accordance with the Government's working program adjustment regulations and send it to the Department of Legal Affairs for monitoring and urging.
2. In the course of making decree formulation proposals, if the decree formulation proposals contain complicated contents with different opinions, the proposal-making unit shall report the Governor or the managing Deputy Governor for consulting the State Bank's leadership.
3. For decrees in the list of documents detailing laws and ordinances not subject to the procedures for making decree formulation proposals as prescribed in Clauses 1 and 2 of this Article, units shall comply with Section 3 of this Chapter.
Article 11. Law, ordinance or decree formulation proposals with proposals on amendments and supplements to sectors and trades subject to conditional business investment or business investment conditions
1. In addition to the contents on making law, ordinance or decree formulation proposals as prescribed in Articles 7, 8 and 10 of this Circular, for the law, ordinance or decree formulation proposals with proposals on amendments and supplements to sectors and trades subject to conditional business investment or business investment conditions, the proposal-making units must supplement the following contents:
a) Sectors and trades subject to conditional business investment or business investment conditions expected to supplement or amend;
b) Analysis of the necessity and purpose of amendment and supplement to sectors and trades subject to conditional business investment or business investment conditions in accordance with Clauses 1, 3 and 4, Article 7 of the Law on Investment;
c) Grounds for amending and supplementing sectors and trades subject to conditional business investment or business investment conditions and concerned subjects;
d) Assessment of the reasonability and feasibility of the amendment and supplementation of sectors and trades subject to conditional business investment or business investment conditions and their compliance with treaties on investment;
dd) Impact assessment of the amendment and supplementation of sectors and trades subject to conditional business investment or business investment conditions on the state management and business investment activities of the concerned subjects.
2. In the course of making law, ordinance or decree formulation proposals, the proposal-making units shall submit to the Governor or the managing Deputy Governor to consult the Ministry of Planning and Investment on the proposals on amendments and supplements to sectors and trades subject to conditional business investment or business investment conditions.
Section 2. FORMULATION OF CIRCULAR-MAKING PROGRAMS
Article 12. Circular-making programs
1. By November 01 every year at the latest, the Department of Legal Affairs shall issue a document requesting units of the State Bank to propose the formulation of circulars expected to be promulgated in the following year.
2. Units shall, within their functions and tasks, make the circular formulation proposals for the next year and submit to the Governor or the managing Deputy Governor for opinions and send them to the Department of Legal Affairs no later than December 01 every year.
The circular formulation proposal must specify name of the circular, the necessity of promulgation, promulgation grounds, subjects of application, scope of regulations, principal contents, unit in charge of drafting, time of promulgation and drafting plan for each document.
The document drafting plan must be specify on a monthly basis at the following times: developing an impact assessment report of the new policy (if any); completing draft circular; completing the consultation on the draft circular; sending to the Department of Legal Affairs for appraisal of the draft circular; submitting to the Governor for signing and promulgating the circular.
3. The Department of Legal Affairs shall consider and summarize the circular formulation proposals of units. Where it is necessary to clarify the content of the circular formulation proposal, the Department of Legal Affairs shall discuss or request in writing the unit to explain or hold a meeting to discuss the circular formulation proposals of the units.
4. By December 15 every year at the latest, the Department of Legal Affairs shall make a draft circular-making program and submit it to the Governor for promulgation.
In case of disagreement with the unit sending the circular formulation proposal on the necessity of promulgation, name or the feasibility of the document formulation schedule, the Department of Legal Affairs shall not include the draft circular-making program or adjust such draft and report the Governor for consideration and decision.
Where it is necessary to promulgate a circular to meet regulatory requirements or to conform to legal documents with higher legal effect, the Department of Legal Affairs shall cooperate with relevant agencies in proactively proposing to include in the circular-making program and submit to the Governor for consideration and decision.
5. The circular-making program signed and promulgated by the Governor shall be uploaded on the State Bank’s portal.
Article 13. Adjustments to circular-making programs
1. In case of supplementation of the circular-making programs, units shall carry out procedures for circular formulation proposals under Clauses 2 and 3, Article 12 of this Circular.
2. In case of removing from the program or adjusting the deadline for submission of the draft circular, the unit in charge of drafting shall report the Governor or managing Deputy Governor, clearly state reasons, remedial solutions and plans on document formulation according to the time expected to propose the draft circular and send a document to the Department of Legal Affairs after obtaining the approval opinions from the Governor or managing Deputy Governor.
3. By the 25th of the last month of each quarter or upon irregular request, the Department of Legal Affairs shall consider, synthesize and submit to the Governor for decision on adjustments to circular-making programs. In case there is any different opinion on the proposal for adjustments to circular-making programs of units, the Department of Legal Affairs shall request the Governor for consideration and decision.
4. The decisions on adjustments to circular-making programs signed and promulgated by the Governor shall be uploaded on the State Bank’s portal.
Article 14. Proposals for formulation of circulars in the list of documents detailing laws or ordinances
For circulars in the list of documents detailing laws or ordinances that are not subject to the procedures for making circular formulation proposals under Articles 12 and 13 of this Circular, units shall comply with Section 3 of this Chapter.
Section 3. MAKING LISTS OF DOCUMENTS DETAILING LAWS OR ORDINANCES
Article 15. Making lists of documents detailing laws or ordinances drafted by the State Bank
1. Within 05 working days from the date on which the laws or ordinances drafted by the State Bank are approved, the Department of Legal Affairs shall be responsible for reviewing and drafting the list of detailing documents in accordance with Points a and b, Clause 1, Article 28 of the Decree No. 34/2016/ND-CP, expecting to assign the unit in charge of drafting if the drafting agency is the State Bank, and send such draft list to consult relevant units of the State Bank.
2. The consulted agencies shall give written replies within 03 working days after receiving the written requests.
3. Within 20 days from the date on which the laws or ordinances are approved, the Department of Legal Affairs shall study, accept opinions and complete the draft list of detailing documents and submit it to the Governor for signing and sending to the Ministry of Justice.
4. The unit assigned to be in charge of drafting detailing documents shall coordinate with the Office in synthesizing and including in the working programs of the State Bank and the Government; coordinate with the Department of Legal Affairs to register them in the State Bank’s circular-making program (if any).
Article 16. Documents detailing laws or ordinances drafted by other agencies other than the State Bank
In case the Prime Minister’s decisions on lists of documents detailing laws or ordinances assign the State Bank to be in charge of drafting the detailing documents, the Governor shall assign the unit in charge of drafting to draft such detailing documents. The unit assigned to be in charge of drafting shall coordinate with the Office in synthesizing and including in the working programs of the State Bank and the Government; coordinate with the Department of Legal Affairs to register them in the State Bank’s circular-making program (if any).
Article 17. Change of time for submission of documents detailing laws or ordinances
1. Where it is necessary to change the time for submission of documents detailing laws or ordinances, the unit assigned to be in charge of drafting shall issue a written request, in which clearly states reason, solutions and deadline for submitting the Governor to send the Ministry of Justice.
2. After the request to change the time for submission of detailing documents is approved, the unit in charge of drafting detailing documents shall coordinate with the Office in synthesizing and including in the working programs of the State Bank and the Government; coordinate with the Department of Legal Affairs to adjust the State Bank’s circular-making program (if any).
Chapter III
DRAFTING, PROMULGATION AND CONSOLIDATION OF LEGAL DOCUMENTS
Section 1. DRAFTING AND PROMULGATION OF LAWS, ORDINANCES, DECREES AND THE PRIME MINISTER’S DECISIONS
Article 18. Procedures for drafting of laws, ordinances, decrees and the Prime Minister’s decisions
1. Based on the Government’s Resolutions on approval of the law, ordinance or decree formulation proposals, the unit assigned to be in charge of drafting shall actively draft the projects and make draft laws, draft ordinances or draft decrees.
2. The drafting of laws, ordinances, decrees and decisions of the Prime Minister shall comply with Sections 2, 3, 4, 5 and 6, Chapter III, Articles 90, 91, 92, 93, 94, 95 and 96, Section 3, Chapter V of the Law on Promulgation of Legal Documents, and Section 1, Sub-section 1, Section 2, Chapter IV of the Decree No. 34/2016/ND-CP.
3. The unit in charge of drafting shall be responsible for consulting the State Bank’s leadership on contents of the draft laws or draft ordinances, complicated contents with different opinions of the draft decrees or draft decisions of the Prime Minister during the drafting process.
Section 2. DRAFTING AND PROMULGATION OF CIRCULARS
Article 19. Process of drafting circulars
1. Formulating reports on assessment of impacts of new policies (if any) under Clause 2, Article 31 of the Decree No. 34/2016/ND-CP for the case of drafting circulars in accordance with Clause 2, Article 24 of the Law on Promulgation of Legal Documents.
2. Making draft circulars.
3. Consulting, accepting opinions and explaining opinions on the draft circulars.
4. Appraising draft circulars.
5. Submitting for signing circulars.
Article 20. Making draft circulars
1. The unit in charge of drafting shall research related information and documents, and base on the reports on assessment of impacts of policies (if any), to:
a) Make an outline;
b) Make the draft circular;
c) Make a draft report, clearly stating the necessity of promulgation; purpose, viewpoint in directing to formulate the draft document; process of draft document formulation; structure and basic contents of the draft document; and issues to be consulted (if any);
d) An explanation of the draft circular regulations or a comparison and explanation of differences between the draft circular and amended, supplemented or replaced document (in case of drafting an amending, supplementing or replacing document).
2. In the course of drafting, the unit in charge of drafting may mobilize the participation of the research institutions, associations, universities, experts, scientists and other related organization and individuals.
Article 21. Collection of opinions on draft circulars
1. After completing the draft circular, the unit in charge of drafting shall report the Governor or managing Deputy Governor to approve the contents and give permits for collecting opinions on draft circulars.
2. Collecting opinions from relevant units of the State Bank:
a) The unit in charge of drafting shall send a document collecting opinions from units of the State Bank related to the draft circular. The unit in charge of drafting may give issues to be consulted in compliance with functions and tasks of each unit;
b) The consulted unit shall respond in writing within 07 working days after receiving the request for giving opinions (except for the case of organizing the collection of opinions on administrative procedures under Point d of this Clause).
If necessary, the unit in charge of drafting may set a deadline for collecting opinions which is shorter than the time limit as mentioned above, provided it is at least 03 working days and is approved by the Governor or the managing Deputy Governor. The consulted unit shall be responsible for responding within the time limit stated on the official dispatch on collecting opinions;
c) Head of the consulted unit shall take responsibility before the Governor for not giving opinions or delaying to give opinions and arising problems (if any) related to the contents under its management;
d) For a draft circular containing regulations on administrative procedures, in addition to giving opinions on contents, the Department of Legal Affairs shall be responsible for giving opinions on the administrative procedures provided in the draft circular. If necessary, the Department of Legal Affairs shall organize to collect opinions from relevant organizations and agencies, and subjects affected by regulations on administrative procedures.
3. Collecting opinions from subjects directly affected by the document, and other relevant organizations, agencies and individuals:
a) The unit in charge of drafting shall propose the Governor or the managing Deputy Governor the list of subjects directly affected by the document, and other relevant organizations, agencies and individuals (apart from organizations specified at Point b of this Clause) to consult on the draft contents. Time limit for consulting must be stated on the document on collecting opinions, ensuring that subjects directly affected by the document, and other relevant organizations, agencies and individuals have enough time to study and give opinions;
b) The unit in charge of drafting shall send the draft circular to the Central Committee of the Vietnam Fatherland Front; and send the draft circular related to enterprises’ rights and obligations to the Vietnam Chamber of Commerce and Industry for consulting;
c) The unit in charge of drafting shall post the whole draft document on the portals of the Government and the State Bank for at least 60 days for public opinion.
4. In case there are basic changes in the draft circular compared to the draft document already sent for consulting, or in case of necessity, the unit in charge of drafting shall re-collect opinions from relevant units of the State Bank and subjects directly affected by the document to ensure the feasibility of the document.
During the course of consulting and appraising the draft document, the Department of Legal Affairs may request the unit in charge of drafting to re-collect opinions from relevant units of the State Bank and subjects directly affected by the document, in case there are basic changes in the draft circular compared to the draft document already sent for consulting.
5. In case of emergency, if the collection of opinions as prescribed in Clauses 1, 2, 3 and 4 of this Article does not satisfy requirement on schedule, the unit in charge of drafting shall report the Governor or the managing Deputy Governor to consider and decide on concurrently consulting relevant units, subjects directly affected by the document and related organizations and agencies, or holding a meeting to directly collect opinions.
Article 22. Request for directions from the State Bank’s leadership
In case the draft circular containing complicated contents with different opinions, the unit in charge of drafting shall report the Governor or the managing Deputy Governor to request for directions from the State Bank’s leadership.
Article 23. Synthesizing and accepting opinions
1. Within 30 days from the deadline for comment, the unit in charge of drafting shall be responsible for studying, synthesizing, accepting opinions, explaining opinions, and amending the draft circular. In case of refusing contributed opinions, the unit in charge of drafting shall explain clearly.
The receipt of comments for regulations on administrative procedures in the draft circular must be made in a separate part of the document on accepting and explaining opinions.
2. For complicated issues with different opinions, the unit in charge of drafting shall report the Governor or the managing Deputy Governor for directions.
3. After accepting comments and amending the draft document, if necessary, the unit in charge of drafting shall continue consulting relevant units, organizations and individuals.
Article 24. Appraisal of draft circulars
1. After revising the draft circular according to comments of units, organizations and individuals, and directions of the State Bank’s leadership (if any), the unit in charge of drafting shall send the draft circular dossier to the Department of Legal Affairs for appraisal.
2. A dossier of request for appraisal must comprise:
a) An official dispatch of request for appraisal;
b) A draft report as prescribed at Point c, Clause 1, Article 20 of this Circular;
c) A draft circular after accepting comments from units, organizations and individuals;
d) A report on summarization of opinions, giving of explanations to the acceptance and nonacceptance of opinions collected from organizations, units and individuals; and photocopies of written opinions;
dd) An explanation of the draft circular regulations or a comparison and explanation of differences between the draft circular and amended, supplemented or replaced document (in case of drafting an amending, supplementing or replacing document);
e) A report on assessment of impacts of new policies as prescribed in Clause 1, Article 19 of this Circular (if any); a report on assessment of impacts of administrative procedures and a report on integration of gender equality (if any);
g) Other relevant documents (if any).
3. The Department of Legal Affairs shall organize to appraise the draft circular according to one of the following forms:
a) Establishing a council of consultancy for appraisal: For draft circulars containing regulations that directly affect to the rights, obligations and interest of the people and enterprises, related to many sectors or fields, or drafted by the Department of Legal Affairs, the Department of Legal Affairs shall propose the Governor to establish a council of consultancy for appraisal under Article 48 of the Decree No. 34/2016/ND-CP;
b) The Department of Legal Affairs carries out the appraisal. In case of necessity, the Department of Legal Affairs shall hold a meeting with representatives of the Department of Legal Affairs, unit in charge of drafting and a number of relevant units in service of the appraisal of draft circulars.
4. If it is necessary to clarify the draft circular regulations, the Department of Legal Affairs shall request the unit in charge of drafting to provide information and documents related to the draft document, or request for explaining regulations of the draft document.
5. The appraisal contents shall comply with Clause 3, Article 102 of the Law on Promulgation of Legal Documents.
6. Time limit for appraisal: Within 10 days from the date on which the dossier of request for appraisal is received, the Department of Legal Affairs shall send a written appraisal to the unit in charge of drafting.
In case of emergency, the Department of Legal Affairs shall be responsible for appraise the draft circular within 05 working days after receiving sufficient dossiers of request for appraisal.
7. After receiving the written appraisal, the unit in charge of drafting shall study, accept and revise the draft circular and send a document to the Department of Legal Affairs, clearly stating the acceptance, explanation of the appraisal and enclosed with the draft circular revised according to the appraisal opinions.
In case there are complicated contents, the unit in charge of drafting shall consider and decide on reporting and requesting for directions from the Governor or the managing Deputy Governor before sending the document of acceptance and explanation of the appraisal opinions to the Department of Legal Affairs.
8. After receiving the document of acceptance and explanation, the Department of Legal Affairs shall coordinate with the unit in charge of drafting to complete the draft circular.
In case of agreeing with the draft circular regulations, the Department of Legal Affairs shall stamp the appraisal seal on the draft circular so that the unit in charge of drafting can submit to the Governor.
In case the further clarification of the draft circular regulation is required, the Department of Legal Affairs shall directly discuss or invite the representative of the unit in charge of drafting to a meeting in order to reach an agreement on the draft circular regulations before stamping the appraisal seal.
9. After coordinating with the unit in charge of drafting to complete the draft document, if there is different opinion, the Department of Legal Affairs shall issue a document on reserving opinion and send it to the unit in charge of drafting. The unit in charge of drafting shall report the Governor or the managing Deputy Governor for consideration and decision. The Department of Legal Affairs shall stamp an appraisal seal under directions of the Governor or the managing Deputy Governor.
Where it is necessary to clarify reserved opinions, the Department of Legal Affairs shall send a report to the Governor or the managing Deputy Governor and stamp an appraisal seal after obtaining directions from the Governor or the managing Deputy Governor.
10. The draft circulars drafted by the Department of Legal Affairs shall not be subject to the appraisal procedures under this Article, except for provisions of Point a, Clause 3 and Clause 5 of this Article. The Department of Legal Affairs shall stamp the appraisal seal for the circular before submitting the Governor for signing and promulgation.
Article 25. Submitting for signing circulars
1. The unit in charge of drafting shall submit the Governor for signing and promulgating circulars. A dossier of submitting for signing a circular must comprise:
a) A report to the Governor as prescribed at Point c, Clause 1, Article 20 of this Circular;
b) A draft circular bearing the appraisal seal by the Department of Legal Affairs;
c) A report on summarization, giving of explanations to and acceptance of opinions of units, organizations and individuals on the draft circular regulations;
d) A written appraisal; and a report giving of explanations to and acceptance of appraisal opinions;
dd) A document reserving opinions of the Department of Legal Affairs (if any);
e) A report on assessment of impacts, and a written assessment of administrative procedures, a report on integration of gender equality (if any);
g) Other relevant documents (if any).
2. The Governor or the assigned Deputy Governor shall consider and sign to promulgate the circular.
Article 26. Issuance of circulars
1. After the circular is signed and promulgated, the Office shall be responsible for giving number to the circular; stamping; making copies; keeping and sending such document to organizations and individuals as prescribed in Clause 2, Article 27 of this Circular and returning the dossier of submitting for signing to the unit in charge of drafting.
2. The unit in charge of drafting shall be responsible for sending e-version of the circular to the Office and the Department of Legal Affairs, and take responsibility for the accuracy of such e-version; send the Office the press release of the circular promulgation; coordinate with the Office in ensuring the printing and issuance of the circular in a timely and accurate manner.
Article 27. Publishing on Cong Bao (Official Gazette), sending and transmitting information on circular promulgation
1. The publishing on Cong Bao (Official Gazette), sending and transmitting information on circular promulgation shall comply with the Law on Promulgation of Legal Documents, guiding documents and regulations on protecting state secret.
2. Within 03 working days from the date on which the document is signed and promulgated, the Office shall:
a) Send the original document enclosed with e-version to the Government Office to publish on Cong Bao (Official Gazette) in accordance with regulations on publishing on Cong Bao (Official Gazette), and to post on the Government’s portal;
b) Send the document to relevant agencies and units as stated in the “receipt” box of the circular;
c) Coordinate with relevant units in publishing the circular, make press release on the circular promulgation on the State Bank’s portal.
3. The Department of Legal Affairs shall be responsible for publishing the entire circular on the national legal database within 15 days after the date of signing and promulgating.
4. After being promulgated, the circular shall be disseminated to relevant units, organizations and individuals. For circulars with wide scope of regulation concerned to many working fields, the Department of Legal Affairs shall assume the prime responsibility for, and coordinate with the unit in charge of drafting, the State Bank Branches of provinces and centrally run cities in, disseminating and propagandizing to subjects in charge of implementation.
Section 3. CONSOLIDATION OF LEGAL DOCUMENTS
Article 28. Consolidation of decrees and Prime Minister’s decisions drafted by the State Bank
1. Within 01 working day from the date on which the amending and supplementing document is signed and promulgated, the unit in charge of drafting shall send an e-version of that amending and supplementing document to the Department of Legal Affairs and take responsibility for the accuracy of such e-version.
2. Within 03 working days after receiving the e-version of the amending and supplementing document, the Department of Legal Affairs shall consolidate the document and submit the Governor or the Deputy Governor to sign and certify the consolidated document.
3. Within 02 working days from the date on which the Governor or the Deputy Governor signs and certifies the consolidated document, the Office shall send the original consolidated document, enclosed with the e-version to the Government Office to publish on Cong Bao (Official Gazette) and the Government’s portal.
Article 29. Consolidation of circulars and joint circulars drafted by the State Bank
1. Within 01 working day from the date on which the amending and supplementing circular or joint circular is signed and promulgated by the Governor, the unit in charge of drafting shall send an e-version of that amending and supplementing circular or joint circular to the Department of Legal Affairs and take responsibility for the accuracy of such e-version.
2. Within 03 working days after receiving the e-version of the amending and supplementing circular or joint circular, the Department of Legal Affairs shall consolidate the document and submit the Governor or the Deputy Governor to sign and certify the consolidated document.
3. Within 02 working days from the date on which the Governor or the Deputy Governor signs and certifies the consolidated document, the Office shall send the consolidated document to publish on Cong Bao (Official Gazette) and coordinate with relevant units in posting the consolidated document on the State Bank’s portal.
Article 30. Techniques for consolidation of legal documents
Techniques for consolidation of legal documents shall comply with the Ordinance on Consolidation of Legal Documents.
Chapter IV
IMPLEMENTATION ORGANIZATION
Article 31. Funding for formulation of legal documents
1. Funding for formulation of legal documents shall comply with Section 3, Chapter X of the Decree No. 34/2016/ND-CP, instructions of the Ministry of Finance and the State Bank on the management and use of state budget for the formulation and promulgation of legal documents.
2. Heads of units of the State Bank shall, based on the assigned tasks relating to drafting and promulgation of legal documents, propose and coordinate with the Finance - Accounting Department and the Administration Department in, allocating funding and other necessary conditions for the formulation and promulgation of legal documents.
3. The unit in charge of drafting legal documents shall make a detailed estimate of funding for formulation of legal documents and send it to the Department of Legal Affairs for appraisal of the conformity of that estimate with the complexity, subjects of regulation and subjects of application of the document.
Article 32. Responsibilities of units of the State Bank
1. Units of the State Bank shall:
a) Comply with regulations on order and procedures for formulation and promulgation of legal documents in the Law on Promulgation of Legal Documents, guiding documents and this Circular;
b) The units in charge of drafting shall ensure the draft schedule and quality of the draft documents, timely report the Governor and the managing Deputy Governor of difficulties in the course of document formulation;
c) By the 23rd every month at the latest or upon irregular request of the Department of Legal Affairs and the Office, units in charge of drafting shall send reports on the formulation of legal documents (in writing and e-document) to the Department of Legal Affairs and the Office. If the legal documents are formulated behind the schedule, such reports must specify reason and remedial solutions.
2. The Department of Legal Affairs shall:
a) Guide units to comply with regulations on order and procedures for formulation and promulgation of legal documents of the State Bank;
b) Monitor and urge units to draft legal documents timely; report the Governor issues arising in the course of monitoring and urging;
c) By the 05th of the first month of every quarter at the latest, the Department of Legal Affairs shall synthesize and submit the Governor reports on implementation of the circular-making program of the State Bank in the previous quarter;
d) By the 25th every month at the latest, the Department of Legal Affairs shall update e-information on implementation of law- and ordinance-making program and the detailing document formulation and send to the Ministry of Justice;
dd) By the 05th of the first month every quarter at the latest, the Department of Legal Affairs shall report in writing on the implementation of law- and ordinance-making program and the detailing document formulation to the Ministry of Justice.
3. The Office shall: Report on the formulation and schedule of formulation of decrees and decisions of the Prime Minister, and difficulties in the course of making draft decrees, draft decisions of the Prime Minister in accordance with regulations on reporting the implementation of schemes in the Government’s working program.
Article 33. Effect
This Circular takes effect on November 15, 2016 and replaces the Circular No. 30/2013/TT-NHNN dated December 09, 2013 of the Governor, prescribing the order and procedures for formulation and promulgation of legal documents by the State Bank of Vietnam.
Article 34. Implementation organization
The Chief of Office, Director of the Department of Legal Affairs, Heads of units of the State Bank branches of provinces and centrally run cities shall organize to implement this Circular./.
