Prescribing the forms and reports related to investment activities in Vietnam, offshore investment and investment promotion activities

Pursuant to Law No. 61/2020/QH14 on Investment dated June 17, 2020;

Pursuant to the Government’s Decree No. 31/2021/ND-CP of November 12, 2015, detailing and guiding the implementation of a number of articles of the Law on Investment;

Pursuant to the Government's Decree No. 86/2017/ND-CP dated July 25, 2017, defining the functions, tasks, powers and organizational structure of the Ministry of Planning and Investment;

At the proposal of the Director of the Foreign Investment Agency;

The Minister of Planning and Investment hereby promulgates the Circular prescribing the forms and reports related to investment activities in Vietnam, offshore investment and investment promotion activities.

Article 1. Scope of regulation

This Circular prescribes the forms and reports related to investment activities in Vietnam, offshore investment and investment promotion activities.

Article 2. Subjects of application

1. The investors that conduct investment activities in Vietnam and offshore investment activities.

2. Competent state management agencies in charge of investment activities in Vietnam, offshore investment and investment promotion activities.

3. Other organizations and individuals involved in investment activities in Vietnam, offshore investment and investment promotion activities.

Article 3. Forms and reports related to investment activities in Vietnam, offshore investment and investment promotion activities

1. Forms and reports related to investment activities in Vietnam are provided in Appendix A.

2. Forms and reports related to offshore investment activities are provided in Appendix B.

3. Forms and reports related to investment promotion activities are provided in Appendix C.

Article 4. Guidance on signing of documents and reports

1. For investment through establishment of economic organizations in Vietnam: Before establishing an economic organization, the investor shall sign documents of investment formalities. After the economic organization is established, the competent at-law representative of this organization shall sign documents of investment formalities.

2. For investment through capital contribution or purchase of shares or capital contributions in Vietnam: Investors contributing capital or purchasing of shares or capital contributions or competent at-law representatives of economic organizations invested by foreign investors to contribute capital or purchase shares or capital contributions shall sign documents of investment formalities.

3. For investment through establishment of economic organizations in Vietnam: Parties engaged in the business co-operation contract shall sign documents of investment formalities and documents related to investment activities.

4. The investors specified in Article 68 of the Government’s Decree No. 31/2021/ND-CP dated March 26, 2021, detailing and guiding the implementation of a number of articles of the Investment Law regarding offshore investment registration shall sign documents and reports related to offshore investment activities.

Article 5. Responsibility of implementation

Competent state management agencies in charge of investment activities in Vietnam, offshore investment and investment promotion activities, investors conducting investment activities in Vietnam and offshore investment activities, organizations and individuals conducting investment promotion activities and concerned organizations and individuals shall be responsible for the implementation of this Circular.

Article 6. Implementation provisions

1. This Circular takes effect from the date of its signing and replaces the Circular No. 16/2015/TT-BKHDT dated November 18, 2015 of the Minister of Planning and Investment, prescribing the forms of investment formalities and reports on investment activities in Vietnam and the Circular No. 03/2018/TT-BKHDT dated October 17, 2018 of the Minister of Planning and Investment, on guiding and promulgating forms for implementation of offshore investment procedures.

2. Any problems arising in the course of implementation of this Circular should be reported by related organizations and individuals to the Ministry of Planning and Investment for guidance./.

IV. INVESTOR/ORGANIZATION'S COMMITMENT

1. Investor shall be held responsible before law for the lawfulness, accuracy and truthfulness of their dossier contents and documents sent to competent state agencies.

2. Comply with the provisions of Vietnamese law and the Decision on approve investment policy/the Investment Registration Certificate.

3. Commitments to bear all expenses and risks in case the project is not approved.

4. For investors that are Vietnamese citizens concurrently having foreign citizenship: For applying market access conditions and investment procedures as prescribed for domestic investors, all rights and interests of a foreign investor under domestic law or under any international treaty shall be waived.
