Circular 14/2025/TT-BTC amend Circular 119/2020/TT-BTC registration, depository, clearing and settlement of securities, and Circular 58/2021/TT-BTC derivatives and the derivatives market

CIRCULAR

Amending and supplementing a number of articles of the Minister of Finance’s Circular No. 119/2020/TT-BTC dated December 31, 2020, on regulations for registration, depository, clearing and settlement of securities, and the Minister of Finance’s Circular No. 58/2021/TT-BTC dated July 12, 2021, guiding a number of articles of the Government’s Decree No. 158/2020/ND-CP of December 31, 2020, on derivatives and the derivatives market

Pursuant to the Law on Securities dated November 26, 2019;

Pursuant to the Law Amending and Supplementing a Number of Articles of the Law on Securities, Accounting Law, Law on Independent Audit, Law on the State Budget, Law on Management and Use of Public Property, Law on Tax Administration, Law on Personal Income Tax, Law on the National Reserve and Law on Handling of Administrative Violations dated November 29, 2024;

Pursuant to the Law on Identity dated November 27, 2023;

Pursuant to the Government’s Decree No. 155/2020/ND-CP dated December 31, 2020, detailing the implementation of a number of articles of the Law on Securities;

Pursuant to the Government’s Decree No. 158/2020/ND-CP dated December 31, 2020, on derivatives and derivatives market;

Pursuant to the Government’s Decree No. 29/2025/ND-CP dated February 24, 2025, defining the functions, tasks, powers and organizational structure of the Ministry of Finance;

At the proposal of the Chairperson of the State Securities Commission;

The Minister of Finance hereby promulgates the Circular amending and supplementing a number of articles of the Minister of Finance’s Circular No. 119/2020/TT-BTC dated December 31, 2020, on regulations for registration, depository, clearing and settlement of securities, and the Minister of Finance’s Circular No. 58/2021/TT-BTC dated July 12, 2021, guiding a number of articles of the Government’s Decree No. 158/2020/ND-CP of December 31, 2020, on derivatives and the derivatives market.

Article 1. To amend and supplement a number of articles of the Minister of Finance's Circular No. 119/2020/TT-BT dated December 31, 2020, on regulations for registration, depository, clearing and settlement of securities

1. To amend and supplement Point h Clause 3 Article 6 as follows:

“h) Establishment and operation license or certificate of enterprise registration or equivalent papers of the institutional transferors of ownership.”

2. To amend and supplement Point c Clause 2 Article 17 as follows:

“c) Personal identification number, for individual client who is Vietnamese citizen, or person of Vietnamese origin with unknown citizenship currently living in Vietnam; serial number and date of issuance of the enterprise registration certificate, the establishment and operation license or an equivalent document for the client being a domestic organization; serial number and date of issuance of the securities trading code registration certificate for client being foreign investor;”

Article 2. To replace Forms No. 01 and 02 in the Appendix to the Minister of Finance’s Circular No. 58/2021/TT-BTC dated July 12, 2021, guiding a number of articles of the Government’s Decree No. 158/2020/ND-CP of December 31, 2020, on derivatives and the derivatives market, with Forms No. 01 and 02 in the Appendix to this Circular.

Article 3. Effect

1. This Circular takes effect from June 1, 2025.

2. The State Securities Commission, Vietnam Stock Exchange, Hanoi Stock Exchange, Hochiminh Stock Exchange, Vietnam Securities Depository and Clearing Corporation, and other relevant organizations and individuals shall implement this Circular./.
